Official Rules for DEAN & DELUCA'S Ultimate Spice Pantry Sweepstakes (the “Sweepstakes”)

OFFICIAL RULES

1. NO PURCHASE IS NECESSARY TO ENTER AND WILL NOT IMPROVE THE CHANCE OF WINNING.
2. Eligibility: To enter, you must be 18 years of age or older and a legal resident of the United States and you must not be an employee, officer or director of Dean & DeLuca or any of its affiliates, advertising and promotional agencies, or other person or entity involved in the development, production, administration or fulfillment of this Sweepstakes, or an immediate family member of any such person. Dean & Deluca and all above-identified affiliates and individuals are collectively referred to in these Official Rules as "Dean & DeLuca and Affiliates".
3. Prize: One prize will be awarded. The prize is an Ultimate Spice Pantry consisting of food and kitchenware, with an aggregate verifiable retail value of $1000. The prize is not transferable or redeemable for cash or substitution and cannot be refunded or exchanged except at the sole discretion of Dean & DeLuca. The prize will be shipped from the Dean & Deluca warehouse in Wichita, Kansas to the address submitted by the prize winner in his or her entry. The prize winner is responsible for any and all federal, state and local taxes, fees and other government assessments on the awarded prize. Prizes will be awarded “as is” with no warranty or guarantee, either express or implied, offered by Dean & Deluca.
4. Entry: The entry period begins on July 15, 2011 at 12:00AM Eastern Time and ends November 15, 2011 at 11:59PM Eastern Time (the “Contest Period”). For purposes of this Sweepstakes, Dean & DeLuca’s computer is the official time-keeping device. Only one entry per person will be accepted, regardless of the method of entry. You may enter by completing an online entry at http://www.deandeluca.com and submitting it electronically during the Contest Period. To constitute a valid entry, you must meet the eligibility requirements in Section 2 above and timely submit your name, home address, and e-mail address. Any invalid e-mail address submitted by any entrant will void that entrant and that entrant may be disqualified. Dean & DeLuca is not responsible for late, lost, damaged, misdirected, incomplete, illegible, undelivered or destroyed entries, which are invalid entries, regardless of the person responsible or cause including, but not limited to, any problem or technical malfunction of any computer online system or server or technical problem or traffic congestion on the Internet or at our Web site. Use of any automated system to participate is prohibited and will result in disqualification. All potential winners are subject to verification before any prize will be awarded. Dean & DeLuca reserves the rights to, at its sole discretion, cancel, suspend and/or modify this Sweepstakes or these Official Rules or disqualify any individual or entry for purposes of protecting the integrity of this Sweepstakes or addressing changes in business operations or other circumstances, to the extent allowed under applicable law. In such event, Dean & DeLuca reserves the right to award the prize at random from among the eligible entries received up to the time of the impairment. Dean & DeLuca reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process of the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner.
5. Drawing: All selected potential winners must comply with all terms and conditions of these Official Rules, and all winnings are contingent upon fulfilling all requirements. On or about December 1, 2011, Dean & DeLuca will determine a prize winner by randomly selecting one entry from among all valid entries received on a nationwide basis consistent with these Official Rules. Dean & DeLuca has the sole authority to determine the prize winner and its decisions are final and binding in all respects. In the event of a dispute as to any registration, the authorized account holder of the e-mail address used to register will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an e-mail address by an Internet access provider, online service provider, Internet service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being the authorized account holder. By participating in this Sweepstakes, each entrant agrees to be bound by these Official Rules and the decisions of Dean & DeLuca as the sponsor.
6. Odds: The odds that a valid entry will be selected are one out of the total number of valid entries received. Because entries are available to all Web site visitors, the maximum number of entries and the odds cannot be determined.
7. Claiming Prize; Alternate: The potential winner will be notified by telephone, mail or e-mail. To claim the prize, the prize winner must complete, sign and return as directed to Dean & DeLuca within 10 days after the date of the first notice of award, an Affidavit of Eligibility, Waiver of Liability, IRS Form W-9 and, where permitted by law, Publicity Release. If the prize winner fails to timely respond or comply with these requirements, or, if Dean & DeLuca determines the prize winner ineligible after review of the Affidavit and identification, then the prize winner will be disqualified and an alternate prize winner will be selected by random drawing as described in 5 above. If the potential winner cannot be contacted or if the prize is returned as undeliverable, the potential winner forfeits the prize.
8. Waiver and Release: By participating in this Sweepstakes, each entrant agrees: (a) to be bound by these Official Rules and the decisions of Dean & DeLuca; (b) to release and hold harmless Dean & DeLuca and Affiliates from any and all losses, damages, claims and actions of any kind arising, in whole or in part, directly or indirectly, our of participation in the Sweepstakes or from the acceptance, possession or use of any awarded prize, including, without limitation, personal injury, death and/or property damage, as well as claims based on publicity rights, defamation or invasion of privacy; (c) that any action at law or in equity arising out of or relating to this Sweepstakes or the prize shall be governed by the law specified in Section 10 below and shall be filed only in the state or federal courts located in Sedgwick County, Kansas, and entrant hereby consents to the personal jurisdiction of such courts for purposes of any such action; and (d) that Dean & DeLuca is not responsible for and cannot be held liable for unauthorized human intervention, technical errors, printing errors, mail delays, or any other errors in the administration of this Sweepstakes. The winner of the prize assumes all liability for any injury or damage caused or claimed to be caused by participation in the Sweepstakes or use or redemption of any prize. Participation in the Sweepstakes constitutes the entrant’s consent to Dean & DeLuca’s use of entrant’s name, likeness, voice, opinions, biographical information, hometown and state for promotional purposes in any media without further payment or consideration.
9. Limitations of Liability and Disputes: Dean & DeLuca and Affiliates are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use of any prize or while traveling to or from any prize-related activity. If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry via the Web site, provided that, if it is not possible to award another entry due to discontinuance of the Sweepstakes for any reason, Dean & DeLuca, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the state and federal courts located in the state of Kansas; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys' fees; and (iii) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Dean & DeLuca, shall be governed by, and construed in accordance with, the laws of the State of Kansas, without giving effect to any choice of law or conflict of law rules (whether of the State of Kansas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Kansas.
10. Applicable Law and Geographic Area: Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules shall be governed by and construed exclusively in accordance with the laws of the State of Kansas without giving effect to any choice of law or conflict of law rule of any jurisdiction. This Sweepstakes is void outside the United States and where prohibited by law.
11. Any attempt by any person to deliberately damage any Web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil law, and should such an attempt be made, Dean & DeLuca reserves the right to seek damages from any such person to the fullest extent permitted by law. Dean & DeLuca’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
12. Sponsor and Winners List: The name and address of the sponsor of this Sweepstakes is Dean & DeLuca, and the address of its headquarters is 2402 East 37th Street North, Wichita, KS 67219. You may obtain the name of the prize winner by sending a request (identifying this particular Sweepstakes) to the above address, together with a stamped, self-addressed #10 envelope. Requests must be received by January 31, 2012.
